Terms of Service

1) Company

2) Use of this Site

• You may use the site for lawful purposes only and in accordance with these Terms.
• You will not attempt to disrupt the site, bypass security, or scrape content at scale.
• We may modify or discontinue parts of the site without notice.

3) Templates & License

Unless stated otherwise, downloadable templates are provided under a single-entity (company) license:

• You may use, modify, and copy the template within the same legal entity for internal business needs (unlimited seats/users inside that entity).
• You may not resell, sublicense, redistribute, or publicly share the files without our written permission.
• Attribution is appreciated but not required.

If a template includes separate license terms (e.g., on Etsy), those terms prevail for that purchase.

4) Services & Statements of Work

• Custom automation, dashboards, and related services are delivered under a written scope or proposal (email is sufficient).
• If there is a conflict between these Terms and a signed Statement of Work (SOW), the SOW controls.
• Access to sample data and systems is your responsibility; timelines depend on timely access and feedback.

5) Fees, Payments & Taxes

• Prices are quoted in EUR unless otherwise stated. VAT applies where required by law.
• Invoices for services are due per invoice terms. Late payments may pause delivery until resolved.
• Template purchases via third-party platforms (e.g., Etsy) are processed under their terms.

6) Refunds & Cancellations

• Digital templates: refunds aren’t available once a file is delivered/downloaded, except as required by law or the platform’s policy. If you are an EEA consumer, you may have a withdrawal right for digital content before delivery; when delivery is immediate, we may ask you to consent to losing that right.
• Services: cancellations before work starts are refundable minus non-recoverable costs; ongoing work is billed for completed milestones or time incurred.

7) Intellectual Property

• All site content, templates, and pre-existing tools remain our IP or that of our licensors.
• For custom projects, upon full payment you receive a perpetual, non-exclusive license to use the deliverables internally. We may reuse general know-how and libraries developed independently of your confidential info.
• You retain rights to your data and content that you provide.

8) Confidentiality & NDAs

We keep client data confidential and are happy to sign a mutual NDA. Each party will protect the other’s non-public information with reasonable care and use it only to deliver the project.

9) Third-Party Services

We may use third-party tools (e.g., Google Workspace/Apps Script, Calendly, Telegram, payment platforms). Those services are governed by their own terms and privacy policies.

10) Warranties & Disclaimer

• We aim for high quality; however, the site and templates are provided “as is” and “as available”.
• We don’t guarantee uninterrupted or error-free operation or fitness for a specific purpose without configuration.
• For services, we warrant performance with reasonable skill and care.

11) Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect/special/consequential damages or lost profits, revenue, data, or business. Our aggregate liability for paid services won’t exceed fees paid for the engagement giving rise to the claim. Nothing in these Terms limits liability for willful misconduct, gross negligence, or other liability that cannot be limited by applicable law.

12) Acceptable Use

• No unlawful content or use.
• No reverse-engineering of protected components not provided in source, except as permitted by law.
• No automated redistribution of our templates.

13) Support & Compatibility

• Templates are designed for Microsoft Excel 2019/Office 365 (Windows); functionality in other versions (incl. macOS) may vary.
• Reasonable email support for free starters; paid engagements include support per the proposal/SOW.

14) Data & Privacy

See our Privacy Policy for how we process personal data. A Data Processing Addendum (DPA) is available on request for processor relationships.

15) Force Majeure

Neither party is liable for delays or failure caused by events beyond reasonable control, provided reasonable mitigation steps are taken.

16) Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated on this page with the date above. Continued use of the site after changes becomes effective constitutes acceptance.

17) Governing Law & Disputes

These Terms are governed by the laws of Estonia. Courts in Tallinn, Estonia have exclusive jurisdiction, except where mandatory law provides otherwise.

18) General Terms

• Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a reorganization.
• Severability: If a provision is unenforceable, the rest remains in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Entire agreement: These Terms plus any SOW constitute the entire agreement for the subject matter.
